1. Introduction

This Non-Disclosure Agreement ("Agreement") establishes the terms governing the protection, use, and disclosure of confidential information exchanged between A.I Digital Profile and its clients during discussions, consultations, development projects, and other professional engagements.

This Agreement applies to services including website development, software development, API integration, database solutions, AI solutions, automation, cloud deployment, technical consulting, and other technology-related services.

The purpose of this Agreement is to protect confidential information exchanged during a business relationship and to ensure that such information is used solely for evaluating, developing, supporting, or delivering the agreed services.

7. Source Code and Technical Information

Source code, system designs, technical documentation, databases, and application architecture shared during a project will be treated as confidential unless otherwise agreed.

Reusable components, development frameworks, libraries, utilities, methodologies, and other intellectual property owned by A.I Digital Profile remain the property of A.I Digital Profile unless expressly transferred in writing.

Clients are responsible for protecting confidential information provided by the service provider, including:

11. Portfolio and Public Presentation

A.I Digital Profile may include completed projects, screenshots, technologies used, or general project descriptions within its professional portfolio only where permitted by the applicable agreement and after removing confidential information, unless prior written consent has been obtained.

Private client data, proprietary information, credentials, and restricted materials will not be publicly shared without permission.

12. Breach of Confidentiality

Unauthorized disclosure, misuse, or unauthorized access to confidential information may result in suspension or termination of services, legal remedies, injunctive relief, or any other remedies available under applicable law.

13. Relationship Between Parties

This Agreement does not create an employer-employee relationship, partnership, joint venture, or agency relationship between the client and A.I Digital Profile.

A.I Digital Profile may engage qualified subcontractors, freelancers, consultants, or technical specialists to assist in performing the agreed services. A.I Digital Profile remains responsible for ensuring that such parties comply with the confidentiality obligations contained in this Agreement.

14. Return or Destruction of Confidential Information

Upon request or upon completion of the agreed services, either party may request the return or secure destruction of confidential information, except where retention is required by law, necessary for legitimate business recordkeeping, backup systems, or the protection of legal rights.

15. Agreement Updates

A.I Digital Profile may update this NDA / Confidentiality Agreement periodically to reflect changes in services, technology, business practices, or legal requirements.
