NDA / Confidentiality Agreement

1. Introduction

This Non-Disclosure Agreement ("Agreement") establishes the terms governing the protection, use, and disclosure of confidential information exchanged between A.I Digital Profile and its clients during discussions, consultations, development projects, and other professional engagements.

This Agreement applies to services including website development, software development, API integration, database solutions, AI solutions, automation, cloud deployment, technical consulting, and other technology-related services.

2. Purpose of Confidentiality

The purpose of this Agreement is to protect confidential information exchanged during a business relationship and to ensure that such information is used solely for evaluating, developing, supporting, or delivering the agreed services.

3. Definition of Confidential Information

Confidential information may include, but is not limited to:

• Business plans and strategies
• Client requirements and project specifications
• Source code and software architecture
• Database structures and technical documentation
• API keys, credentials, and access information
• Customer information and business data
• Financial information and pricing details
• Internal processes and operational information
• Product ideas, concepts, and development plans
• AI workflows, automation processes, and system designs

4. Obligations of Confidentiality

The receiving party may disclose confidential information only to authorized subcontractors, freelancers, consultants, technical specialists, or service providers who require access to perform their assigned responsibilities in connection with the agreed services. Such parties are expected to maintain confidentiality and use the information solely for the authorized purpose.

• Keep confidential information secure and protected
• Use confidential information only for the agreed purpose
• Not disclose confidential information to unauthorized parties
• Take reasonable measures to prevent unauthorized access
• Notify the other party of suspected unauthorized disclosure

5. Information Not Covered

Confidential information does not include information that:

• Is publicly available without violation of this Agreement
• Was already legally known before disclosure
• Is independently developed without using confidential information
• Must be disclosed to comply with applicable law, regulation, court order, or lawful request from a government authority

6. Protection of Client Data

Client data, credentials, files, documents, business information, technical documentation, and project-related materials will be handled responsibly and accessed only when reasonably necessary to provide the agreed services.

A.I Digital Profile may engage qualified subcontractors, freelancers, consultants, or technical specialists to assist in delivering the agreed services.

Authorized individuals are expected to maintain confidentiality, follow appropriate security practices, and protect confidential information from unauthorized access, disclosure, alteration, or misuse.

Reasonable administrative, technical, and organizational safeguards will be implemented to help protect confidential information throughout the duration of the project.

7. Source Code and Technical Information

Source code, system designs, technical documentation, databases, and application architecture shared during a project will be treated as confidential unless otherwise agreed.

Reusable components, development frameworks, libraries, utilities, methodologies, and other intellectual property owned by A.I Digital Profile remain the property of A.I Digital Profile unless expressly transferred in writing.

8. Client Responsibilities

Clients are responsible for protecting confidential information provided by the service provider, including:

• Project documents
• Technical recommendations
• Development materials
• Business information

Clients are also responsible for ensuring that confidential information received from A.I Digital Profile is disclosed only to authorized personnel with a legitimate business need to know.

9. Duration of Confidentiality

Unless otherwise agreed in writing or required by applicable law, the confidentiality obligations contained in this Agreement continue after the completion, expiration, or termination of the project.

10. Disclosure Restrictions

Neither party shall disclose confidential information to any third party except as permitted under this Agreement or with the prior written authorization of the other party.

11. Portfolio and Public Presentation

A.I Digital Profile may include completed projects, screenshots, technologies used, or general project descriptions within its professional portfolio only where permitted by the applicable agreement and after removing confidential information, unless prior written consent has been obtained.

Private client data, proprietary information, credentials, and restricted materials will not be publicly shared without permission.

12. Breach of Confidentiality

Unauthorized disclosure, misuse, or unauthorized access to confidential information may result in suspension or termination of services, legal remedies, injunctive relief, or any other remedies available under applicable law.

13. Relationship Between Parties

This Agreement does not create an employer-employee relationship, partnership, joint venture, or agency relationship between the client and A.I Digital Profile.

A.I Digital Profile may engage qualified subcontractors, freelancers, consultants, or technical specialists to assist in performing the agreed services. A.I Digital Profile remains responsible for ensuring that such parties comply with the confidentiality obligations contained in this Agreement.

14. Return or Destruction of Confidential Information

Upon request or upon completion of the agreed services, either party may request the return or secure destruction of confidential information, except where retention is required by law, necessary for legitimate business recordkeeping, backup systems, or the protection of legal rights.

15. Agreement Updates

A.I Digital Profile may update this NDA / Confidentiality Agreement periodically to reflect changes in services, technology, business practices, or legal requirements.
